Terms of use

These Terms of Use ("Terms") govern your access to and use of BillPath, LLC's ("BillPath," "we," "us") software (the "Service"). By creating an account or using the Service, you agree to these Terms. If you are using the Service on behalf of a company, you represent that you have authority to bind that company to these Terms.

The Service

BillPath helps general contractors, subcontractors, suppliers, and architects create and manage AIA-style pay applications (G702/G703), lien waivers, daily logs, and related construction billing records.

Accounts

You must provide accurate information when creating an account and are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly of any unauthorized use.

Acceptable use

You agree not to:

• Use the Service for any unlawful purpose or to submit fraudulent pay applications or waivers;
• Attempt to gain unauthorized access to accounts, projects, or data that are not yours;
• Interfere with or disrupt the integrity or performance of the Service; or
• Reverse engineer, decompile, or attempt to extract the source code of the Service, except as permitted by law.

Your content and data

You retain ownership of the project, billing, and waiver data you submit to the Service ("Your Content"). You grant BillPath a license to host, store, process, and display Your Content solely to provide and improve the Service. You are solely responsible for the accuracy of Your Content, including amounts billed, retainage calculations, and waiver representations.

Not legal, financial, or accounting advice

The Service generates documents based on formats commonly used in the construction industry, including AIA-style pay applications and state statutory lien waiver forms. BillPath is a software tool, not a law firm, accounting firm, or financial advisor. The Service does not provide legal, financial, or accounting advice, and generated documents are not a substitute for review by a qualified attorney or accountant. Lien waiver requirements vary by state and by project, and you are solely responsible for confirming that any document generated through the Service is accurate, complete, and compliant with the law applicable to your project.

Third-party services

The Service relies on third-party infrastructure providers, including authentication, database, hosting, and email delivery services. We are not responsible for outages or failures of these third-party services that are outside our reasonable control.

Intellectual property

BillPath and its licensors own all right, title, and interest in the Service, including its software, design, and trademarks. These Terms do not grant you any rights to use BillPath's branding except as necessary to use the Service.

Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ANY DOCUMENT GENERATED WILL SATISFY THE REQUIREMENTS OF ANY PARTICULAR CONTRACT, PROJECT, OR JURISDICTION.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BILLPATH WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, OR DATA, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID US, IF ANY, IN THE TWELVE MONTHS BEFORE THE CLAIM AROSE.

Indemnification

You agree to indemnify and hold BillPath harmless from any claims, damages, or expenses arising from your use of the Service, Your Content, or your violation of these Terms.

Termination

You may stop using the Service at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service, with notice where reasonably practicable.

Governing law

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws principles.

Changes to these terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
